Terms of Service

1. About the Platform

Agencies.co provides information, technology and services for owners, buyers and advisers interested in marketing, communications, creative, digital and related businesses. The Platform may include agency listings, buyer profiles, market commentary, transaction examples, indicative valuation tools, subscription features, introductions and access to advisory services.

Access to some features is subject to additional terms, engagement letters, mandates, confidentiality agreements or payment terms. Where additional terms apply, they form part of your agreement with us and take precedence over these general terms in relation to that feature or service. These include our Valuation Terms, Mandate Subscriber Terms and listing-specific Non-Disclosure Agreement.

2. Information only—no offer or professional advice

Unless we expressly agree otherwise in writing, material on the Platform is provided for general information only. It is not legal, tax, accounting, investment or other regulated advice and must not be treated as a recommendation to enter into, structure or finance any transaction.

Nothing on the Platform constitutes an offer, invitation or solicitation to buy or sell a business, shares, securities, assets or services. An agency listing, valuation, buyer profile, transaction example or introduction does not create a commitment by any person to proceed with a transaction. Any offer can be made or accepted only through appropriate transaction documentation and by persons with authority to enter into it.

You are responsible for obtaining independent legal, tax, financial and accounting advice and for carrying out your own due diligence before making a decision. Past transactions, buyer interest, valuation ranges and other examples are not a guarantee of availability, value or future results.

3. Eligibility and authority

You must be at least 18 and legally capable of entering into a binding agreement to use the Platform. If you use it for a company, partnership, fund or other organisation, you confirm that you have authority to bind that organisation and "you" includes both you and it.

You are responsible for complying with the laws and regulations that apply to you. We do not represent that every feature or service is available or appropriate in every jurisdiction.

4. Accounts and security

Where an account is required, you must provide accurate, current information and keep it updated. Account access is personal to the authorised user. You must keep credentials secure, must not share them or allow unauthorised access, and must tell us promptly if you suspect misuse.

You are responsible for activity carried out through your account unless caused by our breach of duty. We may require identity, authority, buyer mandate or other verification before granting access to confidential or restricted information.

5. Information you provide

You are responsible for information, documents and other materials you submit. You confirm that they are accurate to the best of your knowledge, that you have authority to provide them, and that our permitted use of them will not violate any law, confidentiality obligation or third-party right.

You retain ownership of your materials. You grant us a non-exclusive, worldwide, royalty-free licence to host, copy, process, format and use them only as reasonably necessary to operate the Platform, provide the service you request, facilitate authorised introductions or transactions, comply with law and enforce our agreements. Our use of personal data is governed by our Privacy Policy.

We may remove or restrict material that is unlawful, misleading, infringes third-party rights or creates risk for users or the Platform.

6. Listings, valuations and transaction information

Information about an agency, buyer or transaction may be supplied by users or third parties. Although we may review, structure or summarise it, we do not guarantee that it is complete, accurate, current or independently verified. Figures may be estimates, unaudited, historic, adjusted or presented on assumptions that do not apply to you.

Indicative valuations are estimates, not formal valuations or promises of a sale price. A published or confidential opportunity does not guarantee that the owner will sell, that a buyer will make an offer, that funding is available or that a transaction will complete.

Unless expressly agreed in a separate written engagement, Agencies.co is not a party to a transaction between users and does not act as trustee, escrow agent, lender, legal adviser or guarantor for either party.

7. Confidentiality and contact with other users

You must treat non-public information obtained through the Platform as confidential and use it only for the purpose for which access was granted. You must not disclose, publish, redistribute or use it for competitive intelligence, solicitation, artificial-intelligence training or any unrelated commercial purpose.

You must not contact an agency's staff, clients, suppliers or advisers, or attempt to identify or approach a confidential seller outside the process we specify. Listing-specific confidentiality and contact obligations are set out in the applicable NDA and subscriber terms.

8. Subscriptions, fees and payments

Prices, billing periods, included features and cancellation arrangements are shown when you purchase a service or in the applicable order, subscription terms or engagement letter. You authorise us and our payment provider to charge the payment method supplied for amounts due, including recurring charges where you select a recurring subscription.

Fees are exclusive of taxes unless stated otherwise. You are responsible for applicable taxes. Refunds are available only where required by law or expressly stated in the terms applying to the purchase. Failing to pay may result in restricted or suspended access.

9. Acceptable use

You must not:

• use the Platform unlawfully, fraudulently or to harm, harass, mislead or impersonate another person;
• scrape, crawl, harvest, copy or extract Platform data by automated means without our written permission;
• circumvent access controls, confidentiality processes, subscription limits or security measures;
• introduce malware, overload the Platform, probe for vulnerabilities or interfere with its operation;
• reverse engineer or attempt to derive source code except where the law expressly permits it;
• resell, syndicate or create a competing database or service from Platform content;
• use confidential or personal data obtained through the Platform for unsolicited marketing; or
• use Platform content or confidential information to train or develop an artificial-intelligence system without our written consent.

10. Intellectual property

The Platform and its design, software, databases, selection and arrangement of content, branding, valuation methodology and materials are owned by or licensed to Capital A Group Ltd and are protected by intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for its intended business purpose. You may make reasonable copies of public material for your own internal, non-commercial reference, provided you retain notices and do not alter the material. Nothing transfers ownership or permits commercial republication without our written consent.

Agencies.co and associated logos are trade names or marks of Capital A Group Ltd. Other names and marks belong to their respective owners.

11. Third-party services and links

The Platform may link to or integrate services operated by others, including payment, scheduling, video and authentication providers. Third-party services have their own terms and privacy policies. A link or integration does not mean we endorse or control the third party, and we are not responsible for its availability, content or acts.

12. Availability and changes

We aim to keep the Platform available and secure but do not guarantee uninterrupted, error-free or permanent access. We may maintain, update, suspend, withdraw or change any part of the Platform. We are not responsible for delays or failures caused by events outside our reasonable control.

We may update these terms by posting a revised version. Material changes affecting an active paid service may also be notified through the Platform or by email. The updated terms apply from the date stated at the top.

13. Suspension and termination

You may stop using the Platform at any time, subject to outstanding payment, confidentiality and other continuing obligations. We may restrict, suspend or terminate access where we reasonably believe you have breached applicable terms, created legal or security risk, misused confidential information, failed to pay or acted harmfully toward another user.

Provisions concerning confidentiality, intellectual property, accrued payment obligations, liability and governing law continue after access ends where their nature requires it.

14. Disclaimers and liability

Nothing in these terms excludes or limits liability that cannot lawfully be excluded, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation. Nothing affects mandatory rights you may have as a consumer.

Subject to that, the Platform and its general content are provided "as is" and "as available". To the fullest extent permitted by law, we exclude implied warranties and are not liable for decisions made in reliance on general content, third-party information or indicative data.

If you use the Platform for business purposes, we are not liable for indirect or consequential loss, or loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data. Our total aggregate liability arising from the Platform and these general terms will not exceed the greater of (a) £100 and (b) the fees you paid to us for the relevant Platform service in the 12 months before the event giving rise to the claim. Different limits may apply under a separate written engagement.

15. Responsibility for business misuse

If you use the Platform for business purposes, you will be responsible for reasonable losses, liabilities and costs we incur as a direct result of your unlawful use, material breach of these terms, infringement of third-party rights or misuse of confidential information, except to the extent caused by us.

16. General

These terms and any additional terms applying to a service form the agreement between you and us for the relevant use. A delay in enforcing a right is not a waiver. If a provision is invalid or unenforceable, the remaining provisions continue in effect. You may not transfer your rights or obligations without our written consent. We may transfer ours as part of a reorganisation, financing or sale of our business, provided this does not reduce mandatory rights.

A person who is not a party to these general terms has no right to enforce them under the Contracts (Rights of Third Parties) Act 1999, except where additional terms expressly provide otherwise.

17. Governing law and contact

These terms and any non-contractual dispute or claim arising from them are governed by the laws of England and Wales. If you use the Platform for business purposes, the courts of England and Wales have exclusive jurisdiction. If you are a consumer, you may also have rights to bring proceedings in the part of the United Kingdom where you live.
