In these Terms, the following definitions apply:
By submitting information through the Valuation Tool and ticking the consent checkbox, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must not submit information through the Valuation Tool. These Terms constitute a legally binding agreement between you and Capital A Group Ltd.
These Terms should be read alongside our general Website Terms of Service and Privacy Policy, which are incorporated by reference. In the event of conflict between these Terms and any other document, these Terms shall prevail in relation to your use of the Valuation Tool.
The Valuation Tool is provided as a free indicative service to assist agency owners in understanding approximate market values for marketing and communications agencies. The service operates by applying generalised industry valuation methodologies (primarily EBITDA-based multiples) to data you provide and data gathered from publicly available sources.
Data Sharing with Buyers and Mandate Subscribers. Information submitted through the Valuation Tool, including financial data, agency details, contact information, and the resulting Valuation Report, may be shared with registered buyers and active Mandate Subscribers on the Platform. This sharing is a core and integral element of the service. In order to facilitate potential acquisition opportunities and to connect agency owners with qualified buyers, Agencies.co operates a matching service that surfaces agency data to buyers whose acquisition criteria align with your agency's profile. By using the Valuation Tool, you consent to this sharing as described in these Terms and our Privacy Policy. You may request deletion of your data at any time by contacting us at hello@agencies.co, subject to any legitimate legal or contractual retention obligations.
Agencies.co reserves the right to use aggregated, anonymised data derived from Submissions (with all personally identifiable information and individually identifying business data removed) for research, benchmarking, product development, and publication of industry insights. Such aggregated data will never identify you or your agency individually.
The Valuation Tool does not constitute a brokerage, financial advisory, legal advisory, or regulated service of any kind. No employment, agency, partnership, or joint venture relationship is created between you and Agencies.co by virtue of your use of the Valuation Tool.
By using the Valuation Tool, you represent, warrant, and undertake that:
Any breach of these representations may result in immediate suspension or termination of your access to the Platform, and Agencies.co reserves the right to pursue all available legal remedies.
All intellectual property rights in the Platform, the Valuation Tool, the valuation methodology, software, algorithms, templates, and any outputs (other than data you have provided) are owned by or licensed to Capital A Group Ltd. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of the factual data you submit in your Submission. By submitting data, you grant Agencies.co a non-exclusive, royalty-free, worldwide licence to use, process, store, and share your Submission data for the purposes described in these Terms, including for the purpose of generating your Valuation Report and sharing it with Mandate Subscribers as described in Section 3.
Agencies.co retains the right to use anonymised, aggregated data derived from all Submissions for the purposes of improving the Platform, developing industry benchmarking products, and producing research publications. No individually identifying information will be included in such outputs.
Capital A Group Ltd is the data controller for personal data submitted through the Valuation Tool. We process your personal data in accordance with our Privacy Policy and applicable data protection legislation, including GDPR.
The legal bases for processing your personal data include: (a) performance of a contract (or steps taken at your request prior to entering a contract); (b) legitimate interests of Agencies.co in operating the Platform and matching buyers with sellers; and (c) your consent, where explicitly provided.
You have rights under GDPR including rights of access, rectification, erasure, restriction of processing, data portability, and objection. To exercise these rights, please contact hello@agencies.co. You also have the right to lodge a complaint with the Information Commissioner's Office (ICO).
Personal data may be transferred to and processed in countries outside the UK. Where such transfers occur, Agencies.co will ensure appropriate safeguards are in place in accordance with applicable data protection law.
We retain Submission data for a period of up to 7 years for legitimate business and legal purposes, including to satisfy any claims, disputes, or regulatory obligations. You may request deletion of your Submission at any time, subject to any overriding legal obligations.
Nature of Valuation. The Valuation Report produced by the Valuation Tool is an indicative estimate only. It is not a formal business valuation, independent appraisal, or financial advice within the meaning of the Financial Services and Markets Act 2000 or any other applicable legislation. The valuation is generated by an automated system applying general industry benchmarks and does not take into account the full complexity of any specific transaction, market conditions at the time of any actual sale, quality of earnings, due diligence findings, deal structure, or negotiation outcomes. Actual transaction values may be materially higher or lower than the indicative estimate, and no guarantee, representation, or warranty is given as to the accuracy, completeness, or fitness for purpose of any Valuation Report. Agencies.co and Capital A Group Ltd accept no liability for any decisions made, actions taken, or losses suffered by any person in reliance on any Valuation Report. Users are strongly advised to seek independent professional advice from qualified accountants, corporate finance advisers, and legal professionals before making or agreeing to any transaction.
To the fullest extent permitted by law, Agencies.co excludes all liability for:
Where liability cannot be excluded by law, our total aggregate liability to you for all claims arising under or in connection with these Terms shall not exceed the greater of (a) the fees paid by you to Agencies.co in the 12 months preceding the claim, or (b) £100.
Nothing in these Terms limits or excludes liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
You agree to indemnify, defend, and hold harmless Capital A Group Ltd and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Valuation Tool in breach of these Terms; (b) any inaccuracy or misrepresentation in your Submission; (c) your violation of any applicable law or regulation; or (d) any claim by a third party relating to your Submission or your use of the Platform.
These Terms remain in effect for as long as you use the Platform. Agencies.co reserves the right to suspend or terminate your access to the Platform or Valuation Tool at any time and without notice if we reasonably believe you have breached these Terms, engaged in fraudulent or harmful conduct, or if required to do so by applicable law.
Upon termination, your right to use the Valuation Tool ceases immediately. Any Submission data shared with Mandate Subscribers prior to termination may continue to be held by those subscribers in accordance with their own data handling obligations. Agencies.co will process any deletion requests in accordance with Section 6 of these Terms.
Sections 5 (Intellectual Property), 7 (Limitation of Liability), 8 (Indemnification), 10 (Governing Law and Jurisdiction), and 11 (General) shall survive termination of these Terms.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation, save that Agencies.co may seek urgent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
Before commencing any legal proceedings, parties agree to attempt to resolve disputes through good-faith negotiation. If a dispute cannot be resolved through negotiation within 30 days of written notice, either party may refer the dispute to mediation administered by the Centre for Effective Dispute Resolution (CEDR) or such other mediator as the parties may agree. The costs of mediation shall be shared equally unless otherwise agreed.
Nothing in this clause prevents either party from seeking urgent interim relief from a court of competent jurisdiction.
Entire Agreement. These Terms, together with the Privacy Policy and Website Terms of Service, constitute the entire agreement between you and Agencies.co in relation to the Valuation Tool and supersede all prior representations, understandings, and agreements, whether oral or written.
Severability. If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver. Failure by either party to enforce any right or remedy under these Terms shall not constitute a waiver of that right or remedy and shall not affect the party's ability to enforce such right or remedy in the future.
Assignment. You may not assign or transfer any rights or obligations under these Terms without our prior written consent. Agencies.co may assign these Terms or any of its rights or obligations to any successor or affiliate without your consent.
Amendments. Agencies.co reserves the right to amend these Terms at any time. Material changes will be notified by posting an updated version on the Platform with a revised effective date. Continued use of the Valuation Tool after such changes constitutes your acceptance of the updated Terms.
Force Majeure. Agencies.co shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, or failure of third-party infrastructure providers.
