YAAP completes acquisition of Gozoop in what Exchange4Media calls largest deal in independent digital agency space

YAAP Digital has completed the first stage of its acquisition of Gozoop, taking a 60.2% controlling stake in one of India’s best-known independent digital agencies.

The deal is being described as the largest transaction completed between independent digital agencies in India. YAAP intends to acquire the remaining shares over the next three years, ultimately taking full ownership of the business.

The first tranche values the consideration at ₹56.62 crore. This comprises ₹36.96 crore already paid in cash, ₹7.66 crore through a share swap and a further ₹12 crore for excess working capital.

Future tranches will be priced at eight times Gozoop’s normalised EBITDA for the relevant financial year, giving its founders a direct financial incentive to keep growing the business after the initial sale. That structure matters. YAAP has secured control, but Gozoop’s shareholders retain meaningful exposure to the value created over the next three years.

YAAP is buying scale, not dismantling the agency

Founded nearly two decades ago, Gozoop brings established creative, brand strategy, social media, customer experience and online reputation management capabilities. It will remain a separate brand with its existing leadership and organisational structure intact.

YAAP is not buying Gozoop simply to absorb its clients and remove duplicated costs. It is buying a functioning agency with its own reputation, culture and commercial momentum, then connecting it to a larger listed platform. The acquisition also brings Gozoop’s HAWK online reputation management technology into YAAP, adding a product layer that can be sold across the wider group’s client base.

YAAP brings complementary strengths in content, performance marketing, data, technology and influencer marketing, alongside an existing presence across India, the UAE and Singapore. Together, the businesses intend to create an integrated independent network capable of competing for mandates that have traditionally gone to the major global holding companies.

An independent challenger gets serious firepower

Independent agencies frequently claim to be more agile and entrepreneurial than the networks. Their problem is scale. Large clients want specialist talent and original thinking, but they also want geographic reach, technology, data, operational depth and the confidence that an agency can deliver across multiple markets.

The YAAP-Gozoop combination is an attempt to close that gap. YAAP gains Gozoop’s creative reputation, Mumbai presence, client relationships and experienced team. Gozoop gains access to YAAP’s technology, performance capabilities, international footprint and public-market capital.

The deal follows YAAP’s listing on NSE Emerge in March 2026 and signals that the company intends to use its new access to capital to consolidate India’s fragmented agency market. YAAP reported FY26 income of ₹183.73 crore, up 22.2%, while EBITDA increased 89.1% to ₹31.74 crore and net profit almost doubled to ₹22 crore. It also added more than 100 client relationships during the year.

This is therefore not a distressed agency swallowing another distressed agency and hoping that two problems make a platform. YAAP is profitable, growing and now publicly listed. It is using that position to acquire a respected independent with capabilities and clients it can immediately sell across the group.

The global networks built their power through decades of acquisition. YAAP is now running the same playbook in India: secure control, preserve the specialist brand, connect the capabilities and use public capital to build something large enough to fight for the biggest accounts.
