Smarter Web Company Acquires Squarebird Agency for £1.69 Million

On 20 February 2026, The Smarter Web Company PLC, announced its acquisition of Squarebird Agency Ltd, a viable web design and digital marketing agency based in Bristol, for a total net consideration of £1,690,000. This acquisition, part of the Company’s strategic growth plan, aims to enhance its offerings in web design and digital marketing services.

The transaction will be satisfied through a combination of newly issued equity and cash. Specifically, £675,000 will be paid via the issuance of 1,682,033 new ordinary shares at an issue price of 40.13p, which is subject to lock-up provisions. Additionally, £270,000 will be compensated in cash from The Smarter Web Company’s existing reserves, while £340,000 will be covered by Squarebird’s existing cash reserves. Furthermore, £405,000 will be disbursed in three equal instalments on the anniversaries of the acquisition’s completion, expected to be funded by Squarebird’s operating profits.

Squarebird, founded in 2015, has demonstrated consistent profitability and has established a loyal client base, with approximately 40% of its revenue being recurring over the last five years. In its last financial year ending on 30 April 2025, Squarebird reported a turnover of approximately £1.40 million and generated a gross profit of approximately £1.28 million. The acquisition aligns with The Smarter Web Company’s 10 Year Plan, promoting a disciplined growth strategy through value-driven acquisitions.

Andrew Webley, CEO of The Smarter Web Company, emphasised the strategic importance of this acquisition, stating that it strengthens their core web design business, enhances recurring revenue and cash flow, and supports the overall financial position of the Company. He noted that Squarebird’s proven operational model and strong client relationships position it as a valuable asset moving forward.

Jon Bird, Managing Director of Squarebird, expressed enthusiasm for joining The Smarter Web Company, highlighting the potential for growth and the opportunity to contribute to a broader strategic framework. The founders of Squarebird, Jon and Nick Bird, will remain with the business for a minimum of three years post-acquisition to ensure continuity and further development of the agency.

The acquisition is poised to increase the scale and capability of The Smarter Web Company, contributing to increased operational resilience and long-term strategic objectives. Following the acquisition, it is expected that the shares will commence trading on the Main Market of the London Stock Exchange around 26 February 2026. With a vision enhance its market position, The Smarter Web Company will continue seeking growth opportunities through its defined acquisition strategy, focusing on businesses that can complement and augment its existing services.
